Welcome to the services provided by Shanghai Huizhitu Education Technology Co., Ltd. ("the Company", "we", "us"). This Service Agreement ("Agreement") is a legally binding contract between you and the Company regarding the use of our website (huizhitu.com), mobile applications, and related services.
Please read this Agreement carefully before using the service. If you do not agree with any part of this Agreement, do not register for or use the service. By clicking "Agree" or "Register," or by accessing and using the service, you acknowledge that you have read, understood, and accepted all terms of this Agreement.
If you are under 18 years old, you must review this Agreement with your legal guardian and use the service with guardian consent.
1. Definitions
- User ("you"): Any individual or organization that registers, logs in to, or uses the Company services.
- Service: Education consulting, study abroad intermediary services, cultural exchange, technology services, graphic and media production, advertising agency operations, trade brokerage, and related services delivered through websites, apps, or other channels.
- Account: The user account registered for access to the services.
- Service Content: Specific products, tools, features, and service offerings displayed or delivered by the Company.
2. Service Scope
The Company may provide, including without limitation:
- Self-funded study abroad intermediary services (institution recommendation, application support, statement guidance, visa assistance, and related services).
- Education consultation services excluding restricted licensed training activities.
- Cultural and creative exchange organization, cultural brokerage, etiquette services, and artistic creation.
- Technology development, consulting, transfer, and promotion services.
- Consulting and planning services including brand, marketing, project, and public relations support.
- Graphic and professional design services, ad production, ad design, ad agency, and ad publishing.
- Conference and exhibition services subject to required approvals where applicable.
- Information consulting services excluding restricted licensed information consulting categories.
- Trade brokerage, domestic trade agency, import/export agency, and goods import/export.
- Retail and wholesale of cosmetics and daily chemical products, and internet-based sales of lawful product categories.
- Online cultural business operations subject to regulatory approvals where required.
Service updates and changes: The Company may modify, suspend, or terminate part or all services based on business requirements. For material changes, we provide advance notice through website announcements, in-app notices, or email communication.
3. Account Registration and Security
3.1 Eligibility
You represent that when you complete registration or otherwise use the service, you have full legal civil capacity. Users under 18 must use the service under guardian supervision and consent.
3.2 Registration Information
You must provide accurate, complete, and valid registration information and promptly update changes.
3.3 Account Security
You are responsible for keeping account credentials confidential and for all activities under your account. You must notify us immediately if unauthorized use or security concerns are identified.
3.4 Account Deletion
You may apply to close your account via in-app account settings or customer support channels. Personal data will be processed in accordance with our Privacy Agreement.
4. User Conduct Standards
4.1 Lawful Use Obligation
You must comply with PRC laws, relevant international treaties, and local legal requirements in your jurisdiction, and must not use the service for unlawful conduct including but not limited to activities that endanger public order, infringe rights, distribute fraudulent content, facilitate cyber abuse, or violate legal prohibitions.
4.2 Content Rules
You are solely responsible for the legality and rights compliance of content uploaded, published, or transmitted through the service, including text, images, audio, video, and links.
4.3 Intellectual Property Respect
You may not infringe intellectual property rights of the Company or any third party, including copyright, trademark, patent, and trade secret rights.
5. Intellectual Property
5.1 Company IP
All content in the service, including text, images, audio, video, software code, interfaces, logos, and commercial marks, is owned by the Company or right holders and protected by applicable intellectual property laws. Without written authorization, users may not reproduce, modify, distribute, publish, display, perform, sell, license, or create derivative works.
5.2 User-Generated Content
Ownership of content published by users remains with the user or original right holder. You grant the Company a global, royalty-free, non-exclusive, sublicensable license to display, distribute, and promote such content within service scope. You represent you have all rights needed to grant this license.
5.3 Infringement Complaints
If you believe content on the service infringes your lawful rights, you may submit written notice through designated contact channels and we will process it according to applicable law.
6. Fees and Payments
6.1 Service Fees
Certain services are paid offerings. Pricing is shown on the order page. The Company may adjust pricing with public notice before effectiveness.
6.2 Payment Methods
Payments may be completed through supported third-party channels, including WeChat Pay, Alipay, bank cards, and other lawful methods. You must ensure lawful authorization for payment instruments used.
6.3 Refund Policy
Refund terms for customized services such as study abroad intermediary support are governed by corresponding written service contracts. Refunds for standardized products and services follow published policy at purchase pages.
6.4 Invoicing
You may request lawful invoices after payment. Submitted invoicing details are generally not modifiable once processed.
7. Service Changes, Interruption, and Termination
7.1 Service Changes
We may update or adjust service content, features, and interfaces based on business development and user requirements. Material changes are notified in advance where required.
7.2 Service Interruption
Service interruption may occur due to maintenance, upgrades, force majeure events, cyber incidents, telecom policy changes, or user-side network/device issues.
7.3 Service Termination
We may suspend or terminate services when users breach this Agreement or applicable law, remain inactive for 12 consecutive months, where required by regulation, or when the Company discontinues service operations under business decisions.
8. Third-Party Products and Services
The service may include links or integrations with third-party websites, applications, SDKs, and APIs. These services are independently operated by third parties. We do not assume responsibility for third-party content, privacy practices, or security posture. You should review and accept third-party agreements before use.
9. Liability Limitations and Disclaimer
9.1 Service Provided "As Is"
The service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim express or implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and accuracy warranties.
9.2 Study Abroad Outcomes
Study abroad intermediary services are advisory and facilitative in nature. Admission outcomes depend on multiple factors including applicant profile, institution policy, and seat availability. No guaranteed admission outcome is promised.
9.3 Information Accuracy
We seek to maintain accurate and timely information but do not warrant absolute completeness or currentness. Official policies issued by institutions and authorities prevail.
9.4 Indirect Loss
To the extent permitted by law, we are not liable for indirect, incidental, special, punitive, or consequential damages, including profit loss, regardless of claim theory.
9.5 Liability Cap
Where liability is legally established, total compensation shall not exceed the total fees actually paid by you to the Company in the 12 months preceding the claim event.
10. Breach and Remedies
If you breach this Agreement or applicable laws, we may issue warnings, require correction, remove or block violating content, suspend or terminate services, close accounts, and pursue legal remedies. You agree to indemnify the Company and affiliates against losses, liabilities, and reasonable legal expenses arising from your breach or unlawful conduct.
11. Assignment
You may not assign rights or obligations under this Agreement without prior written consent from the Company. The Company may assign this Agreement in merger, acquisition, restructuring, or asset transfer scenarios, with notice where required.
12. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the People's Republic of China (excluding laws of Hong Kong SAR, Macau SAR, and Taiwan for this Agreement's purpose). Disputes shall first be resolved through friendly consultation. If consultation fails, either party may file litigation with the competent people's court at the Company's domicile.
13. Notice and Service
Notices to users may be delivered via in-app notices, internal message, email, SMS, or courier and are deemed delivered on dispatch date. You must maintain accurate contact details and review notices promptly. Notices from users to the Company must be sent in writing through designated channels and are deemed delivered upon Company receipt.
14. Miscellaneous
- Severability: Invalidity of any provision does not affect validity of remaining provisions.
- No Waiver: Failure or delay to exercise rights does not constitute waiver.
- Entire Agreement: This Agreement constitutes the full agreement on service use and supersedes prior oral or written arrangements on the same subject.
- Version Updates: Updated versions may be published with notice. Continued use after update signifies acceptance of revised terms.
